Summary: Kimani Okearah founded Let Me Out Productions (“LMO”) in 2007. Let Me Out Productions is a service studio, privately organized as a professional resource collective in the same format as a community garden. LMO was inspired by friendship, the need to sustain a creative community, and the need for economic longevity. In the early days of 2007-2012, LMO produced a few short films and documentaries while exploring industry mechanics on both coasts, specifically building a path towards platform independence and sustainability. Mr. Okearah sustained the brand from 2012-2021 as a support unit for larger production houses and as a digital media service boutique, producing videos, graphic design, and websites for a wide variety of businesses in Northern California. In early 2021, Mr. Okearah saw an opportunity to build his lifelong goal — creator equity — into the film and television production industry, in perpetuity.

Mr. Kimani Okearah identifies, first and foremost, as a citizen of Kaw Nation. He’s ascended from Kaw Nation through his biological grandmother, Barbara Wallace-Hannah. Barbara’s grandmother was a full-blood Kaw. All legal perspectives pertaining to and defining the ability to claim, define, and transact ownership and/or custody of ownership over property are determined, first, foremost, and finally by Kaw Nation.

Mr. Okearah registered with the State of California as the original and sole owner of the limited liability company (“LLC”) and intellectual property concept (“brand”) defining Let Me Out Productions. His chosen enacted method of forming partnerships and creating service-oriented products in this private endeavor is this Limited Deed of Partnership.

Mr. Okearah fractionalized his ownership of the intellectual property concept defined as the Let Me Out Productions brand into 500,000 equal and unique parts of ownership, inventing a scalable intellectual property puzzle in the studio’s branding. Each piece to the puzzle is a fraction of ownership, as defined by this Deed, is conditionally represented and defined by its unique non-fungible token. The rights assigned to each token and to token-holders who reach benchmarks of ownership are specifically defined by the terms of this Limited Deed of Partnership.

This Deed is the only document defining and assigning ownership in Let Me Out Productions, LLC and the brand wrapping the market activity of the LLC, known as “the Let Me Out Productions brand.”

The Let Me Out Productions brand is an intellectual property denoting a formal association of a group of creators producing audience experiences as a collective using blockchain technology.

Let Me Out Productions, LLC is a business, using the Let Me Out Productions brand to publicly market and create relationships with both customers and audiences. The LLC is a for-profit ecosystem, organized as a professional global resource collective, which develops and produces cinematic content for audiences to experience. The projects we develop may include, but are not limited to: productions of long-form narratives, productions of short-form narratives, productions of serialized narratives, productions of long-form documentary, productions of short-form documentary, productions of serialized documentary, experimental productions, animated productions, productions meant to be experienced through virtual reality, productions meant to be experienced in a theatrical setting, productions meant to be experienced with a digital community, productions meant to be experienced in augmented reality on one or multiple locations, and many other production-styles whether known now or hereafter created. Each audience experience we produce creates an asset we can offer to distribution partners to monetize.

These non-fungible tokens bear no governance or administration rights — they are the chosen infrastructure of Mr. Okearah’s collaboration with Let Me Out Productions, LLC to manage the platform's internal shared earnings mechanism, and to assign and certify community ownership over individual and unique pieces of the brand.

Definitions: Let Me Out Productions, LLC (“LMO”) is a for-profit ecosystem operating out of Sacramento, California. Let Me Out Productions, LLC reserves the right to change the location of operation at any time to best suit the future of the platform.

All material made, developed, conceived, first reduced to practice, fixed in any tangible medium of expression, or created independently by Let Me Out Productions, creative partners with a signed partnership agreement, or any subsequent related properties is defined as “intellectual property of Let Me Out Productions, LLC.”

Let Me Out Productions, LLC was registered with the State of California as the sole and exclusive property of Kim David, d.b.a Kimani Okearah on April 13th, of the year 2021. Mr. Okearah operates in life and business under the only name given to him at birth, which is ‘Kimani Okearah.’

The Let Me Out Productions brand was established September 30th of the year 2007. The brand is the intellectual property wrapper of the activity performed by Let Me Out Productions, LLC.

Mr. Okearah fractionalized his sole and exclusive property ownership of the Let Me Out Productions brand into 500,000 equal parts of certified ownership. Each fraction of 0.0002% Certified Ownership of Let Me Out Productions is assigned to or is scheduled to be assigned to a non-fungible token minted in a Let Me Out Productions collection on our OpenSea marketplace. Each token carries assignment from this Limited Deed of Partnership of exactly 0.0002% non-governance certified ownership of the Let Me Out Productions brand. These are pieces of the intellectual property used by the LLC, not shares in the business of the LLC. Company Definition Company is used in its objective meaning. These tokens operate as a platform utility for rights management and ownership certification over this collaborative intellectual property. They are called “Company Ownership Tokens” within our platform.

Let Me Out Productions, LLC is the business. The business enjoys an immutable license to use “Let Me Out Productions,” the brand, to wrap and market its commercial activity. The business owns 84% of the Let Me Out Productions brand, stewarded by the partners in the endeavor.

Under no circumstances are Company Ownership Tokens shares of the business, nor can this be misconstrued. Collectivism Definition Collectivism is an economic practice establishing collective control especially over decision-making, design, production, and distribution. The Let Me Out Productions collective is a hybrid; some aspects are decentralized, some aspects are centralized. “Decentralized” means collective participants have a governance role in decision-making and a labor role in design, production, and at times, distribution. “Centralized” means aspects of decision-making, design, production, and distribution are attributed to an individual or a body, liable for the impact and outcomes of those processes.

Let Me Out Productions is organized with a mechanic that rewards the initial labor in constructing this endeavor based on their efforts and commitment and provides a layer of quality-assurance for participants by centralizing certain aspects of decision-making, design, production, and distribution.

Centralized Aspects: A Creative Board of sixteen (16) seats governs the direction of the Let Me Out Productions brand. Let Me Out Productions, LLC is run and operated by the Founding Leadership, Founding Regents, and Founding Advisors who provide quality-assurance in the audience experiences we produce together through labor. Each individual in Founding Leadership and each Founding Regent governs their own individual seat on the Creative Board of the Let Me Out Productions brand except for the Founding Regent serving as the Chairperson of the Creative Board. All Founding Advisors share governance in equal parts over an additional seat on the Creative Board. Founding Leadership, Founding Regents, and Founding Advisors directly govern the market activity of Let Me Out Productions, LLC, in accordance with the governance provided by Creative Board decisions. Decentralized Aspects: The Top Brass DAO governs four (4) seats on the Creative Board according to the collective will of active participants who own Company Ownership Tokens. Up to two (2) seats can be filled by a delegate from the Top Brass DAO, elected to represent the collective. The delegate is able to vote on the direction of the Let Me Out Productions brand according to their own personal opinion. Let Me Out Productions, LLC only produces audience experiences launched by active participants who own Company Ownership Tokens, who must pitch to the collective. These pitch meetings are called “Creative Symposiums,” and they are held every six (6) months on or around the equinox of the calendar year.

Top Brass DAO Definition The Top Brass DAO is a separate organization from Let Me Out Productions, LLC, existing for and immutably contracted to run a department of the business.

A DAO is a decentralized autonomous organization, governed by active participants.

A customer joins the DAO by purchasing one of the intellectual property products Let Me Out Productions, LLC, offers on the market.

The department of the business, known as “The Ministry of Audience Experience,” is run through a task and coverage bounty system and through elected, fixed-term, fixed-salary positions, with an operating budget provided by the Top Brass Treasury.

The Top Brass DAO also serves as an independent third-party guarantor for the intellectual property products offered by Let Me Out Productions, LLC, allowing all property-owners to enjoy a self-sustainable relationship with their purchased products without an active participant from Let Me Out Productions, LLC.
